论我国公司股权转让制度及完善

摘要: 股权转让制度是有限责任公司制度的重要组成部分。有限责任公司兼具人合性与资合性的特点,这决定了其股权转让必须受到一定的限制。我国关于有限责任公司股权转让的法学理论和立法实践都还不够成熟,这与有限责任公司在我国经济生活中的地位显然是不相适应的。因此,我们有必要对公司股权转让制度进行完善,明确不同意转让股东购买股权时的价格,完善股东优先购买权,完善股权回购制度,明确夫妻离婚时的股权分割原则。
