论公司及其法定代表人越权的民事法律效果

On the Civil Legal Consequence of the Ultra Vires Act of Corporation and Its Representative

摘要: 公司和公司的法定代表人都应遵守法律和公司章程以及公司内部的有关规定,在各自的权限范围内活动,否则就构成越权。但在实践中,公司及其法定代表人超越权限的行为却比较普遍。公司越权与公司法定代表人越权是两个性质不同的行为,它们之间既有联系又有区别。为保障公司、股东、债权人和善意第三人的利益,法律有必要明确区分公司及其法定代表人越权行为的不同性质,合理划分相关主体的民事法律责任。
